Background / General description:
The International Finance Corporation, a member of the World Bank Group, promotes sustainable private sector investment in developing countries as a way to reduce poverty and improve people’s lives. In addition to its investment work, IFC, through the Private Enterprise Partnership for Africa (PEP Africa), executes a major donor-funded program of private sector advisory services in sub-Saharan Africa. The objectives of the program are to promote direct investment in the private sector, build local businesses and financial intermediaries, and help improve the business enabling environment The Nigeria Corporate Governance Banking Program has been designed by IFC PEP Africa to assist the Nigerian banking sector in improving transparency and efficiency through better corporate governance policies and practices of Nigerian banks. The program aims to mainstream corporate governance issues by (1) working with the banking industry regulators to improve implementation of the Corporate Governance Code for Banks and build capacity to monitor compliance, (2) supporting Nigerian banks to implement better corporate governance practices, (3) working with the local educational institutions to introduce corporate governance curricula, (4) raising public awareness about the needs and benefits of improved corporate governance practices within the Nigerian financial institutions, and (5) building institutions to ensure sustainable corporate governance development in Nigeria beyond the tenure of the IFC program . IFC is seeking to recruit a Legal Advisor/Consultant to join the team of IFC PEP Africa professionals responsible for implementing this program in Nigeria.

Duties and Accountabilities:
The successful incumbent will report to the Nigeria-based Program Manager and will have specific responsibilities including:  Provide consultations to clients and other stakeholder organizations on corporate governance and related legal issues;  Identify problem areas in current legislation in Nigeria (related to corporate governance);  Draft desired changes in legislation and regulations;  Develop relations with government and relevant government agencies to introduce legislative changes;  Analyze and draft corporate documents for client companies;  Conduct and write assessments of corporate governance practices in Program client companies;  Assist in development of project materials and tools on corporate governance and related issues;  Deliver seminars / presentations to companies and public;  Write articles, handbooks, brochures on corporate governance and legal issues;  Assist the Program Management in any other duties that may be required.

Selection Criteria:
• Nigerian Law Degree - minimum LLB; • Minimum of 5 years work experience in areas of corporate law, securities or finance at a law firm or as corporate counsel; • Knowledge of Nigerian company law, Nigerian and international corporate governance; • Work experience in Africa; • Proficiency in using advanced computer applications (Word, Lotus Notes, Edocs, Power Point, Excel, etc.) • Team-oriented and well-organized; patient and sensitive; self confident and convincing; optimistic and energetic • Excellent judgment and use of discretion; • Ability to multi-task in a time sensitive and ever changing work environment is critical • Excellent written, oral and communication skills; • Strong analytical, presentation and drafting skills; • Fluency in English.
